3. User Accounts and Registration

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS (USD $100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold harmless StudyChina.im, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Services; your violation of any term of these Terms; your violation of any third party right, including without limitation any copyright, trademark, trade secret, or other property right, or privacy right; any claim that your User Content caused damage to a third party; or any other party's access and use of the Services with your unique username, password, or other appropriate security code. This indemnification obligation will survive the termination of these Terms and your use of the Services.

11. Termination

We reserve the right to suspend or terminate your access to all or part of the Services, with or without notice, for any reason, including but not limited to your breach of these Terms, your violation of applicable laws or regulations, your engagement in fraudulent or illegal activities, or your conduct that we believe may harm our reputation or the interests of other users. Upon termination, your right to use the Services will immediately cease, and we may delete your account and all associated data. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability. 12. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the courts of Hong Kong, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiations within thirty (30) days, either party may pursue legal remedies in accordance with the governing law and jurisdiction provisions above.

13. General Provisions

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and StudyChina.im regarding your use of the Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice to you. Any attempted assignment in violation of this provision shall be null and void. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.
